We help promoters assess the capital they need, prepare the case and pursue a structure the business can support.
Sharegiants advises promoters evaluating growth funding, refinancing, equity or a strategic transaction. We clarify the requirement, prepare the case and coordinate conversations with suitable counterparties.
These are questions for an initial conversation. A funding or transaction route depends on diligence, counterparty appetite and the company’s circumstances.
Before outreach
Prepare a case that can stand up to the next question.
Promoters need more than a list of lenders or investors. The business case, structure and information have to work together before conversations begin.
01 / ASSESSUnderstand the requirement
Purpose, timing, existing obligations and the decisions still open.
02 / STRUCTURECompare possible routes
Cash flow, security, ownership and cost shape the options worth pursuing.
03 / PREPAREMake the case
Financial analysis, materials and management responses for informed discussions.
04 / COORDINATECarry it forward
Counterparty engagement, diligence, terms and closing conditions as the mandate requires.
Our team has worked with promoters on working capital, refinancing, structured debt, hybrid capital and equity transactions across different industries. We begin by understanding the purpose of the capital, the business’s capacity and the terms a counterparty would need to assess.
Cumulative team experience, including prior engagements; this is not an annual figure. Client names are withheld.
36 current funding opportunitiesAt different stages, including active mandates and mandate discussions. These are prospective requirements, not funds raised, and are excluded from the completed total.
Breadth of current work
Different sectors. Different funding questions.
Current opportunities and discussions span solar, EPC contracting, bitumen manufacturing, steel manufacturing, iron ore, CCTV manufacturing, IT services, pharmaceuticals and specialty chemicals and NBFCs, including an NCD fundraising mandate and a listed NCD opportunity under discussion. Some are active mandates; others remain at the discussion stage. Client identities are withheld.
01 / GROWTH CAPITAL
A real estate business assessing a structure that combines debt and equity.
02 / WORKING CAPITAL
An IT business aligning funding with its operating and collection cycle.
03 / STRUCTURED FUNDING
A steel business examining an optionally convertible debt route.
These are anonymised examples of work undertaken by team members, including prior engagements. Each new mandate depends on the company’s circumstances, diligence and counterparty appetite.
A useful perspective
Sometimes the first answer is not yet.
Before approaching a bank, NBFC, AIF, family office or investor, the purpose, repayment case, ownership expectations and evidence need to hold together. If preparation or timing needs work, we would rather identify it early.
The useful question is which structure the business can support, at what cost and with what effect on ownership and control.

A route is a starting point
Not sure where your requirement fits?
The mandate explorer frames the first issue, possible routes and information to prepare. It does not determine eligibility or terms.
For growth funding where ownership and control are part of the decision.
What does the investor receive in return?
Equity funding brings an investor into the company’s ownership. CCPS—compulsorily convertible preference shares—are preference shares that convert into equity shares according to agreed terms and applicable requirements. The terms may address conversion timing, valuation, preference rights and governance. The final shareholding matters more than the label on the instrument.
When it may fit.
A company with a credible growth plan may need patient capital that cannot be serviced like a loan. Equity can also be considered for an acquisition or balance-sheet repair, if promoters are comfortable negotiating ownership and investor rights.
What to examine.
Model dilution at conversion, voting and consent rights, liquidation preference, future fundraising, exit expectations and the company’s capital structure. Read the shareholder documents together with the economic model.
How Sharegiants helps.
We help shape the investment case and compare commercial structures. Appointed legal, tax and other regulated specialists handle their respective formal work.
This page describes an advisory route, not an offer or assurance of funding. Any facility or transaction depends on assessment, diligence, counterparty appetite and applicable requirements.
For an acquisition where borrowed capital forms part of the purchase structure.
Can the acquisition support its own financing?
A leveraged buyout uses borrowed capital alongside equity to acquire a business. The borrowing may sit at different levels of the acquisition structure; its repayment must ultimately have a credible source. The purchase price alone does not determine the right amount of debt.
When it may fit.
A buyer may consider this route when the target business has identifiable cash flows, assets or a defensible integration plan. The structure must account for the buyer’s contribution and constraints on borrowing and security.
What to examine.
Stress-test the target’s cash generation after the acquisition, existing obligations, transaction costs, covenants, downside cases and the route to refinance or repay. Diligence and applicable corporate and securities rules shape what is possible.
How Sharegiants helps.
We assess the financing case, valuation context and acquisition structure, and coordinate lender or investor conversations with appointed transaction specialists.
This page describes an advisory route, not an offer or assurance of funding. Any facility or transaction depends on assessment, diligence, counterparty appetite and applicable requirements.
A loan against property is borrowing supported by a charge over eligible real estate. The lender examines ownership, title, valuation, existing charges and the borrower’s repayment capacity. The value of the property does not alone determine the amount available.
When it may fit.
It may help a business raise capital or refinance obligations when suitable property can be offered and cash flows can service the proposed facility.
What to examine.
Review title, permitted use, valuation, loan-to-value, interest and repayment terms, prepayment, existing charges and consequences of default. The asset owner and borrowing entity may need different approvals.
How Sharegiants helps.
We organise the credit case and supporting information, compare available terms and coordinate suitable lender discussions.
This page describes an advisory route, not an offer or assurance of funding. Any facility or transaction depends on assessment, diligence, counterparty appetite and applicable requirements.
For promoters or businesses considering borrowing against eligible shareholdings.
What happens if the share price moves?
A loan against shares uses eligible shareholdings as collateral. Lenders assess the liquidity and concentration of the shares, permitted pledge, coverage and the borrower’s ability to repay independently of the share price.
When it may fit.
Promoters may consider it for a defined funding need when they hold eligible shares but do not intend to sell them immediately. Eligibility and borrowing capacity vary with the security and lender policy.
What to examine.
A decline in share value can trigger a request for more collateral or repayment. Check pledge restrictions, margin thresholds, lender rights, disclosure obligations and the effect on promoter control.
How Sharegiants helps.
We frame the borrowing need and security position, compare proposed terms and coordinate lender engagement.
This page describes an advisory route, not an offer or assurance of funding. Any facility or transaction depends on assessment, diligence, counterparty appetite and applicable requirements.
For a funding need that calls for a tailored mix of risk, repayment and ownership rights.
Capital between senior debt and ordinary equity.
Mezzanine capital generally takes a position behind senior debt and may seek a different return for taking that risk. Quasi-equity is a broad description for funding with some equity-like economic features even when it is not ordinary share capital. These are descriptions, not a standard instrument: a negotiated transaction might use subordinated debt, convertible securities, preference shares or participation rights. The documents determine the actual rights.
When it may fit.
A growing company or acquirer may need capital beyond what senior lenders will support, while the promoter wants to negotiate the timing and extent of dilution. That is a reason to compare structures, not an assurance that such funding is available.
What to examine.
Examine cash interest, any accrued return, repayment priority, security, conversion or participation rights, consent rights, maturity and exit. A smaller payment today can mean a larger amount at maturity. Model both a successful growth case and a difficult refinancing case.
How Sharegiants helps.
We map the proposed economics against existing facilities and promoter ownership objectives, then prepare the case for suitable capital providers with appointed legal and tax advisers.
This page describes an advisory route, not an offer or assurance of funding. Any facility or transaction depends on assessment, diligence, counterparty appetite and applicable requirements.
For funding that needs terms beyond a conventional bank loan.
Does the repayment schedule fit?
An NCD is a company debt instrument that does not convert into shares. Its coupon, maturity and principal repayment follow the agreed terms. A secured NCD has a specified security interest over eligible assets; an unsecured NCD does not. Security changes the lender’s protection but does not make repayment certain. An OCD starts as debt and may convert wholly or partly into shares under its terms. The promoter must understand who holds the option, when it can be exercised and how the conversion price affects ownership.
When it may fit.
A company seeking expansion or refinancing may consider debentures when a conventional loan does not match its required repayment profile. The instrument must still fit projected cash flows and the available security.
What to examine.
Compare the full cost, repayment dates, asset charges, covenants, events of default and restrictions from existing lenders. For an OCD, model the shareholding before and after possible conversion; company approvals and securities requirements depend on the proposed issue.
How Sharegiants helps.
We compare routes against the business plan, prepare the commercial case and coordinate selected counterparty discussions. Appointed legal and regulated professionals handle documentation and regulated issue work.
This page describes an advisory route, not an offer or assurance of funding. Any facility or transaction depends on assessment, diligence, counterparty appetite and applicable requirements.
For a defined project with a credible cost plan and cash-flow case.
How is the project funded before it earns?
Project finance looks at a defined project’s cost, construction or implementation schedule, approvals and expected cash generation. Capital may be drawn in stages. The financing case should show how cost overruns and delays would be handled, not just the return after completion.
When it may fit.
It may fit a business with a project whose costs, promoter contribution, contracts and likely cash flows can be examined separately from general operating needs.
What to examine.
Test completion risk, land and permits, contractor performance, contingencies, cash-flow timing, security, sponsor support and debt service in a delayed case.
How Sharegiants helps.
We organise the project case, identify information gaps and coordinate discussions with suitable lenders or institutions.
This page describes an advisory route, not an offer or assurance of funding. Any facility or transaction depends on assessment, diligence, counterparty appetite and applicable requirements.
For an established business assessing credit without specific asset security.
Can the business support debt without asset security?
An unsecured business loan is credit without a specified property or other asset charge. Unsecured does not mean unrestricted: a lender still assesses financial performance, cash flows, existing debt, ownership and credit history, and may require covenants or other commitments.
When it may fit.
An established business with a documented operating record may consider it for a defined need when specific asset security is unavailable or undesirable. Terms and availability depend on lender assessment.
What to examine.
Compare cost, repayment timing, personal or corporate undertakings, covenants, debt-service headroom and the effect on existing facilities.
How Sharegiants helps.
We prepare a clear credit case and coordinate suitable lender discussions after assessing the business’s capacity.
This page describes an advisory route, not an offer or assurance of funding. Any facility or transaction depends on assessment, diligence, counterparty appetite and applicable requirements.
For businesses funding operations, equipment or a defined expansion.
Match the facility to the use of funds.
Working capital supports the operating cycle—for example, inventory, receivables and payments due before collections arrive. A term loan generally funds a longer-lived need and is repaid over an agreed period. A working-capital term loan may be structured for a defined operating or expansion requirement, subject to lender terms.
When it may fit.
The useful distinction is timing: a recurring collection gap needs a different approach from a one-off equipment purchase or capacity expansion.
What to examine.
Examine the cash-conversion cycle, seasonal peaks, customer concentration, existing limits, security, repayment schedule and the effect of slower collections.
How Sharegiants helps.
We review the funding gap, prepare projections and lender materials, and coordinate discussions with suitable banks or NBFCs.
This page describes an advisory route, not an offer or assurance of funding. Any facility or transaction depends on assessment, diligence, counterparty appetite and applicable requirements.
Private equity, strategic capital and an IPO each ask something different of a promoter. We examine purpose, ownership and readiness before discussing a route.
BEFORE A LISTING
Readiness has more than one dimension.
Equity routes
Different markets. Different preparations.
01 / PRIVATE
Private capital
A negotiated investment calls for a credible growth plan, valuation context and clarity on the stake offered.
02 / STRUCTURED
Mezzanine & quasi-equity
Capital with negotiated repayment, conversion or participation terms can bridge a funding gap. Explore the route ↗
02 / LISTING
SME & Main Board readiness
A possible listing requires stronger records, governance, disclosure preparation and management readiness.
03 / LISTED
Further equity capital
Rights issues, preferential issues and qualified institutions placements (QIPs) call for different eligibility, pricing, shareholder and disclosure considerations. We can help assess the capital objective and preparation with appointed legal and regulated intermediaries conducting the formal issue work.
Listed-company acquisitions
Assess the business before the listing status.
For prospective acquirers considering a BSE or NSE Main Board or SME-listed company, Sharegiants can support the strategic assessment, valuation context, funding plan and coordination of diligence. The team draws on prior individual experience; this is a new Sharegiants offering. Open-offer management and other regulated work require separately appointed qualified intermediaries.
A listing decision begins before an offer document.
These are the questions a promoter can work through ahead of a formal issue mandate.
01
Is a listing the right route?
Test the capital need, shareholder goals and timing.
02
Where are the gaps?
Review financial records, governance, capital structure and management readiness.
03
What needs preparation?
Organise information and management responses before entering a formal process.
04
Who leads the issue?
The issuer appoints a SEBI-registered merchant banker and other intermediaries for formal issue work.
Clear responsibilities
Preparation and formal issue work have distinct mandates.
Sharegiants works with promoters on general corporate finance and readiness before a formal public issue. A SEBI-registered merchant banker must be separately appointed to lead regulated issue management.
The appointed intermediaries handle formal due diligence, offer documents, filings and other issue responsibilities under their mandates. Sharegiants’ scope is agreed separately for each engagement.
A mandate needs judgment, preparation and follow-through. These are the people behind Sharegiants’ corporate finance advisory.
